Document Intro
Definitions
“Account” means any customer portal login or purchase account used to access Products.
“Activation” means any license validation, entitlement check, or feature gating step used to confirm the applicable license tier, access scope, or integrity status of a Product.
“AI Features” means any AI-assisted, algorithmic, or automated functionality within a Product (including suggestions, summaries, scoring, prioritization, decision support, or workflow automation).
“Content” means materials provided on the Site or within Products, including text, design, layout, scripts, code, and documentation.
“Diagnostics” means limited operational signals or codes that help keep Products stable and supportable (for example, a pass/fail count, last run timestamp, version identifier, or error code).
“Digital Product License” or “License” means the limited permission we grant you to use the Products, as described in the License section below.
“Order” means your purchase transaction for Products.
“Policies” means any referenced policies, including Privacy Policy, Refund Policy, AI Disclosure, or other notices incorporated by reference into these Terms.
“Site” means our websites, landing pages, checkout pages, and customer portals.
“Third-Party Services” means platforms or services not controlled by us (e.g., Google, payment processors, analytics providers, marketplaces).
“Your Output” means the content and business work product you create using the Products.
Eligibility + Account Responsibility
You represent that you are at least 18 years old (or the age of majority where you live) and have the legal capacity to enter a contract.
If you create an Account, you agree to provide accurate information, maintain the security of your credentials, and promptly notify us of unauthorized access or suspected compromise.
You are responsible for all activity under your Account, including use by anyone you allow to access the Products.
Orders, Pricing, Taxes, and Payments
- An Order is not accepted until we confirm it (e.g., via receipt/confirmation).
- We may refuse or cancel Orders for fraud prevention, suspected misuse, or other legitimate reasons to the extent permitted by law.
- Prices and promotions may change at any time prior to purchase.
- Taxes (including VAT/GST where applicable) may be added at checkout depending on your location and applicable rules.
- Payments may be handled by third-party processors and may be subject to the processor’s terms and privacy practices.
- We do not store full payment card details on our systems unless explicitly stated by us.
- If you initiate a chargeback or payment dispute, we may suspend delivery/access while the dispute is resolved.
- Fraudulent or abusive disputes may result in termination of access and denial of future purchases, to the extent permitted by law.
Delivery, Access, and Digital Nature of Products
- Digital Products are typically delivered by download link, email, customer portal, or access instructions after payment confirmation.
- We do not guarantee uninterrupted access to downloads, portals, or any Third-Party Services required to use the Products.
- You are responsible for maintaining local backups where appropriate.
- Products may rely on Third-Party Services (e.g., Google Sheets, Apps Script, Google Drive, browsers, operating systems).
- We do not control those environments and do not warrant continued compatibility if third parties change their platforms, APIs, security rules, or policies.
- You are responsible for your third-party accounts, permissions, sharing settings, and compliance with Third-Party Service terms.
- Misconfigured permissions may prevent the Products from functioning.
Refunds, Cancellations, and Subscriptions
Refunds, cancellations, and chargeback handling are governed by your Refund / Cancellation / Chargeback Policy, incorporated by reference.

If you offer recurring billing, your subscription terms should be clearly displayed at checkout.
License Grant (Digital Product License / EULA)
Subject to payment (if applicable) and continued compliance with these Terms, HyperUp Suite grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to download and use the Products for internal business or personal use, and to create Your Output.
Single-user license: Licensed to a single individual purchaser. Sharing with other people is prohibited.
Small-team license: Licensed to a single business entity and up to [X] named users. Sharing outside the licensed team is prohibited.
You may NOT, and may NOT allow others to copy, reproduce, distribute, resell, sublicense, rent, lease, publicly share, publish, remove notices, reverse engineer (except where prohibited by law), or circumvent licensing/security/anti-copy measures.
You own Your Output. HyperUp Suite retains all rights to the Products themselves (including templates, layouts, scripts, engines, product design, documentation, and proprietary workflows).
Products may include integrity checks and gating logic. If an integrity check fails, a Product may operate in a limited mode and/or present instructions for legitimate recovery.
This License terminates automatically if you violate these Terms. Upon termination, you must stop using the Products and delete/disable all copies to the extent permitted by law.
Intellectual Property
All Site and Product Content is owned by HyperUp Suite or its licensors and protected by intellectual property laws. “HyperUp Suite” and associated marks are trademarks/service marks of HyperUp Suite.
User Content, Feedback, and Support Materials
If you submit support requests, do not send sensitive personal information unless necessary.
If you provide feedback, you grant HyperUp Suite a worldwide, perpetual, irrevocable, royalty-free license to use that feedback to improve Products.
Acceptable Use + Prohibited Conduct
You agree not to misuse the Site or Products, violate law, infringe rights, attempt unauthorized access, distribute malware, or engage in harmful or deceptive conduct.
AI Features + Automation Disclosure (If Applicable)
Some Products may include automation and/or AI Features. Outputs may be incomplete or inaccurate. You are responsible for verifying outputs and making your own decisions. No earnings or results guarantees are made.
Disclaimers (No Professional Advice, No Guarantees)
Products are provided “AS IS” and “AS AVAILABLE” to the maximum extent permitted by law. We do not guarantee outcomes, revenue, or uninterrupted operation.
Diagnostics, Telemetry, and “Hands-Off” Operations (Optional)
Some Products may generate privacy-safe Diagnostics to maintain stability, ensure integrity, and reduce support burden. Diagnostics are designed to avoid collecting spreadsheet content or sensitive business data by default.
Limitation of Liability
To the maximum extent permitted by law, HyperUp Suite will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption.
Indemnification
You agree to defend, indemnify, and hold harmless HyperUp Suite and its affiliates from claims arising from your misuse, violations, or infringement.
Suspension, Termination, and Enforcement
We may suspend or terminate access if you violate these Terms, engage in fraud, or misuse Products.
Dispute Resolution (Optional)
Arbitration/class action provisions vary by jurisdiction. Include only if reviewed and appropriate for your business.
Policy Updates + Versioning (Optional)
We may update these Terms from time to time and will update the “Last Updated” date. Products may optionally use a Remote Policy Gateway to ensure the latest policy URLs.

“Gold Copy” Backups and Your Data (Optional)
Some Products may include backup helpers. You remain responsible for your backups and storage availability.
Governing Law
These Terms are governed by the laws of [State/Country], except where mandatory consumer protection laws apply.
Severability + Entire Agreement
If any provision is held unenforceable, the remaining provisions remain in effect. These Terms and referenced Policies form the entire agreement.
